Terms governing access to and use of the TG International website

Effective date: 21 September 2026

These Terms and Conditions govern your access to and use of the TG International website. The website is an information and business-enquiry platform. It is not an online shop, and submitting an enquiry does not create an order, reservation, agency appointment or binding contract.

Separate transaction documents govern each supply or arrangement, including any quotation, pro forma invoice, order confirmation, credit application, written agreement and expressly incorporated sales terms. If there is a conflict, the transaction-specific document takes priority for that transaction.

1. Acceptance and scope

By accessing or using the website, you agree to these Terms. If you use the website for a company or other organisation, you confirm that you have authority to act for it.

The website is intended primarily for business and trade users. Any mandatory rights that cannot lawfully be excluded or limited remain unaffected.

2. About TG International

TG International sources, facilitates, supplies and exports fast-moving consumer goods, including ambient, chilled and frozen products, principally from the United Kingdom to business customers in Africa, the Indian Ocean Islands, the Caribbean Islands, South America and Asia.

Depending on the transaction, TG International may act as the seller or exporter named in the commercial documents, or as an agent or intermediary arranging supply or related services. TG International's role will be determined only by the applicable transaction documents and not by general wording on the website.

3. Website information

Product images, descriptions, brands, pack sizes, specifications, availability, lead times, routes and service descriptions are illustrative and may change without notice. Information may be supplied by manufacturers, suppliers, carriers or other third parties.

Website content does not constitute a binding offer, warranty, professional advice or confirmation that any product may lawfully be imported, distributed or sold in a particular destination.

4. Enquiries, quotations and contracts

A website enquiry is a request for information only. TG International may accept or decline any enquiry and is not obliged to quote, source or reserve goods.

A quotation is subject to its stated validity period and all stated assumptions, exclusions and conditions. Unless the transaction documents expressly state otherwise, a contract is formed only when TG International provides written acceptance or order confirmation after receiving any required signed acceptance, payment, deposit, documentation or credit approval.

No employee, representative, supplier or intermediary may bind TG International through an informal statement unless an authorised TG International representative confirms it in writing.

5. Prices, currency, taxes and payment

Prices, currencies, exchange-rate assumptions, taxes, duties, levies, banking charges, freight, insurance and other charges are governed by the applicable quotation or transaction documents. A website reference to a product or service does not fix its price.

Payments must be made only to a bank account formally notified by TG International through an authorised communication. Customers should independently verify any purported change of bank details by telephoning TG International on a previously verified number. TG International will never accept responsibility for funds sent to fraudulent or unauthorised account details where the payer failed to take reasonable verification steps.

6. Incoterms delivery risk and title

Where a quotation or contract uses an Incoterm such as EXW, FOB or CIF, that term has the meaning given to it by the edition of the ICC Incoterms rules expressly stated in the transaction documents. If no edition is stated, the edition current on the date of the quotation will apply, to the extent permitted by law.

The agreed Incoterm and transaction documents determine the delivery point, allocation of costs, export and import responsibilities, carriage, insurance obligations and transfer of risk. An Incoterm does not by itself determine transfer of ownership, payment obligations, product conformity, governing law or dispute resolution.

Shipment and delivery dates are estimates unless expressly guaranteed in a signed transaction document. Port congestion, carrier schedules, customs processes, inspections, cold-chain events, supplier delays and circumstances beyond reasonable control may affect performance.

7. Food products and regulatory requirements

Product ingredients, allergens, nutritional information, labelling, shelf life, storage conditions and specifications must be confirmed from the final manufacturer documentation and shipment-specific

records. Website information must not be used as the sole basis for food-safety, medical, nutritional, regulatory or purchasing decisions.

Unless the transaction documents allocate responsibility differently, the customer is responsible for confirming destination-country requirements, including import permits, product registration, licences, foreign-language labels, labelling approvals, standards, sanitary or phytosanitary requirements, customs classification and local sale or distribution permissions.

The customer must promptly provide complete and accurate consignee, permit, tax, customs and documentary information. TG International is not responsible for delay, loss, detention, rejection or additional cost caused by inaccurate or late customer information or by the customer's failure to meet destination-country requirements, except to the extent caused by TG International's breach of an express obligation.

8. Third party suppliers and logistics providers

TG International may rely on manufacturers, wholesalers, inspection bodies, warehouses, freight forwarders, carriers, insurers, banks, customs agents, laboratories, IT providers and other third parties.

Where TG International acts only as an agent or intermediary, the relevant third party may contract directly with the customer and its own terms may apply. TG International does not guarantee the acts or omissions of an independent third party, subject always to any non-excludable legal duty and any express obligation accepted by TG International.

9. Acceptable use and website security

You may use the website only for lawful business purposes. You must not:

  • submit false, misleading, unlawful or infringing information;
  • attempt to gain unauthorised access to the website, its systems or data;
  • introduce malware, scrape the website at unreasonable volume, disrupt its operation or bypass security measures;
  • impersonate another person or misrepresent your authority; or
  • use website content to compete unlawfully with TG International or infringe intellectual-property rights.

TG International may restrict or block access where reasonably necessary to protect the website, its users or its business.

10. Intellectual property

Unless otherwise stated, TG International owns or lawfully uses the website design, text, graphics, compilation and other website materials. Product names, trade marks, packaging and images may belong to their respective owners.

You may view and print limited website content for your own legitimate internal business use. You may not reproduce, modify, republish, sell, licence or commercially exploit it without prior written permission from the relevant rights holder.

11. Third party links

Links to third-party websites are provided for convenience. TG International does not control or endorse those websites and is not responsible for their availability, security, content, privacy practices or transactions.

12. Availability and disclaimers

TG International takes reasonable steps to keep the website useful and secure but does not warrant that it will always be available, uninterrupted, error-free or free from harmful code. The website and its content are provided on an as-is and as-available basis to the fullest extent permitted by law.

Users remain responsible for verifying material information before acting on it and for maintaining appropriate cybersecurity, backups and internal approval processes.

13. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any liability arising from fraud, wilful misconduct or gross negligence to the extent that South African law prohibits its exclusion.

Subject to the preceding paragraph and to the fullest extent permitted by law, TG International will not be liable for indirect, incidental, special or consequential loss arising solely from use of or inability to use the website, including loss of profit, revenue, opportunity, goodwill or data.

Any liability connected with an actual transaction is governed by the applicable quotation, order confirmation, sales terms or other transaction document rather than this website clause.

14. Privacy and electronic communications

TG International processes personal information in accordance with its Privacy and Cookie Policy. By submitting an enquiry, you request a response using the contact details supplied. Marketing communications will be sent only where lawful, and recipients may opt out at any time.

15. Governing law and jurisdiction

These Terms and any dispute arising specifically from use of the website are governed by the laws of the Republic of South Africa. Subject to any mandatory law or agreed dispute-resolution clause, the courts with jurisdiction in Gqeberha, Eastern Cape, South Africa will have jurisdiction.

The governing law and dispute-resolution provisions for a sale, agency arrangement, shipment or other transaction are those stated in the applicable transaction documents.

16. Changes, severability and waiver

TG International may update these Terms by publishing a revised version with a new effective date. Changes apply prospectively from publication unless the law requires otherwise.

If any provision is invalid or unenforceable, it will be read down or severed to the minimum extent necessary, and the remaining provisions will continue. A failure or delay in enforcing a right is not a waiver of that right.
